Your access to NOVAI is subject to the terms that govern the responsible and lawful use of our platform and its services.
NOVAI (hereinafter referred to as the 'Platform', 'Service', or 'Company') is a web-based digital platform designed, owned, and operated to provide services to non-governmental organizations (NGOs), social enterprises, startups, and other entities that seek access to international funding opportunities. The Platform leverages Artificial Intelligence (AI) technologies, proprietary algorithms, and expert human consultation to streamline, optimize, and facilitate the process of identifying, preparing, and submitting grant applications. By accessing or using NOVAI, you acknowledge and agree that NOVAI provides informational and facilitation tools only and does not guarantee, warrant, or otherwise represent that any grant, funding, or financial opportunity will be secured or awarded. NOVAI shall not be held liable for outcomes contingent upon third-party decisions, external circumstances, or factors beyond its control.
By creating an account, accessing, or otherwise using NOVAI, you hereby represent, warrant, and covenant that you are at least eighteen (18) years of age, or have otherwise reached the legal age of majority and capacity under the laws of the jurisdiction in which you reside. The use of NOVAI by any person under such minimum legal age is strictly prohibited and constitutes a violation of these Terms.
If you are accessing or using the Platform on behalf of a organization, foundation, association, nonprofit, or other legal entity, you further represent and warrant that you possess the full legal authority to bind said entity to these Terms and Conditions. In the absence of such authority, you are expressly prohibited from using NOVAI on behalf of such entity, and you agree to assume full personal liability for any and all obligations incurred.
You agree to use NOVAI in strict compliance with all applicable laws, rules, and regulations, as well as these Terms and Conditions. You shall not, under any circumstance, misuse, exploit, or abuse the Platform. Prohibited conduct shall include, without limitation: (i) hacking, intrusion, or any unauthorized access; (ii) reverse-engineering, decompiling, or attempting to derive source code; (iii) transmitting harmful, unlawful, defamatory, or malicious content; (iv) introducing malware or destructive code; (v) using the Platform to engage in unlawful conduct.
You are solely responsible for maintaining the confidentiality of your login credentials. Any activities conducted through your account shall be deemed to have been carried out by you personally. In the event of suspected unauthorized access, breach, or misuse, you must immediately notify NOVAI. NOVAI reserves the right, at its sole discretion, to suspend, terminate, or restrict access to your account.
NOVAI collects, processes, and stores information provided by you, including but not limited to your name, contact details, organization information, and funding preferences. Additionally, NOVAI automatically collects information regarding your use of the Platform, including pages visited, features used, and time spent.
The purpose of collecting this information is to: (i) improve your user experience; (ii) personalize recommendations; (iii) detect misuse or security threats; (iv) improve the overall performance of the Platform. By using NOVAI, you expressly consent to such monitoring and data collection.
All rights, titles, and interests in and to the NOVAI Platform, including without limitation the software, design, content, databases, trademarks, and service marks (collectively, 'NOVAI Intellectual Property'), are and shall remain the exclusive property of NOVAI. Except for limited rights of access and use expressly granted to you under these Terms, no license, assignment, or transfer of rights is made or implied. You shall not copy, reproduce, modify, distribute, resell, exploit, or create derivative works from NOVAI Intellectual Property without NOVAI's prior written consent.
Certain features of the Platform may be offered on a subscription or paid basis. By purchasing or subscribing, you agree to pay all applicable fees and taxes displayed or invoiced. Unless otherwise required by law, all payments are final and non-refundable. NOVAI reserves the right, at its sole discretion, to change pricing, fees, or subscription terms at any time.
To the maximum extent permitted by applicable law, NOVAI and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, goodwill, data, or business opportunities. Your sole remedy in the event of dissatisfaction with the Platform is to discontinue its use. This limitation shall apply regardless of the legal theory of liability.
NOVAI reserves the right, at its sole discretion and without prior notice, to suspend, terminate, or restrict your access to the Platform if you violate these Terms, engage in unlawful activity, or misuse the Service. You may terminate your use at any time by closing your account. Provisions of these Terms which by their nature should survive termination shall so survive.
These Terms shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or related to the interpretation, validity, performance, or termination of these Terms shall fall under the exclusive jurisdiction of the competent courts of Paris, France, unless otherwise required by law. Where you act as a consumer, the mandatory provisions of your country of residence and any right you may have to bring proceedings before the courts of your domicile shall remain unaffected.
Prior to litigation, the parties agree to attempt to resolve disputes amicably. If no resolution is reached within thirty (30) days, the matter shall be submitted to mediation before the Centre de Médiation et d'Arbitrage de Paris (CMAP), established under the auspices of the CCI Paris Île-de-France, or another recognized mediation or arbitration center in France. If mediation fails, either party retains the right to escalate the dispute before the competent courts of Paris. In case of discrepancy between the language versions of these Terms, the French version shall prevail for users residing in France, and the English version shall prevail elsewhere.
